TERMS AND CONDITIONS

These terms and conditions are for your protection as well as ours, so please read them carefully so we are all on the same page.

1) PAYMENT

1.1 All figures quoted exclude VAT unless stated otherwise. We are VAT registered and therefore VAT will be added to your final invoice.

1.2 We charge a 50% fee upfront once the project has been approved as a deposit. This must be paid at least fourteen (14) days prior to commencement of any work. If there is less than 14 days between receiving the invoice and the agreed project start date, the deposit must be paid immediately. The remaining 50% shall be invoiced upon completion and final sign off.

1.3 Any invoices that are not paid within 30 days of the date of invoice may incur a penalty fee of 5% of the outstanding balance per week.

1.4 Phaded London Limited reserves the right to withhold delivery of material and intellectual property rights until full payment of all fees.

2) OWNERSHIP & USE OF MATERIALS

2.1 Phaded London Limited are under no obligation to provide raw files, assets or rushes to any client without prior agreement.

2.2 Once the full fee has been paid, the client will have copyright ownership of the completed deliverables only.

2.3 Full rights to the raw footage may be purchased by the client for an additional fee equal to 50% of the project’s full invoice ex VAT (plus the cost of a hard drive and postage).

2.4 Electronic project files (for editing, motion graphics and other associated audio and visual works) remain the property of Phaded London Limited, and copies will only be given over to the client at the discretion of Phaded London Limited.

2.5 Phaded London Limited reserves the right to use all content, either in part or in its entirety, for promotional purposes.

3) AMENDMENTS

3.1 Unless stated otherwise, all clients are entitled to one round of reasonable amendments per video free of charge. 

3.2 These changes must be submitted all at once and deemed reasonable by Phaded London Limited.

3.3 In the case that the work is likely to involve more time/cost than the original estimate, or the scope of the work changes, we will agree any additional fee in advance of undertaking the work.

4) CANCELLATION AND POSTPONEMENT

4.1 In the event of cancellation of a service or termination of the agreed contract, in whole or part, by the client prior to completing the project, Phaded London Limited reserves the right to make the following cancellation/termination charges:

i. Cancellation by the client with less than 5 days notice may result in a charge of up to 50% of total project fee.

ii. Cancellation by the client when the production has commenced, or with less than 24 hours notice, may result in a charge of up to 100% of the total project fee being made.

iii. All incurred costs & expenses due to cancellation will also be chargeable to the client.

4.2 If we are required to cancel an external freelancer booking (i.e. a camera operator), there may be an additional cancellation charge.

4.3 Phaded London Limited reserve the right to cancel or terminate a contract or agreed project if:

i. You or your organisation becomes insolvent or subject to bankruptcy proceedings.

ii. The reputation of Phaded London Limited and anyone connected with Phaded London Limited could be damaged.

4.4 If poor weather prevents a shoot, we will do our best to reschedule as soon as possible. If we don’t feel it is appropriate to shoot due to poor weather, we reserve the right to postpone. In the event that weather prevents our team from attending a shoot, the Client will not be liable to pay the agreed fee. If the team are in place and able to work, but the Client cancels the shoot, the Client will be liable.

4.5 In the event of a ‘force majeure’ where we are prevented from working, we are not liable for any breach of contract. Such as, but not limited to, fires, explosions, earthquakes, drought, tidal waves, floods, global pandemics, war or acts or threats of terrorism.

4.6 Our shoot and edit time is non-refundable.

4.7 If a project is postponed, the same fees will apply, unless otherwise agreed.

5) Illness, Injuries and Preventions

5.1 If any member of the Phaded crew is unable to attend a production or meeting, due to illness or injury, Phaded reserves the right to bring and/or send a contractor in that team member’s place - at no further cost to the client.

6) COVID 19

6.1 A full risk assessment will be carried out with the client to ensure that the shoot can take place safely.

6.2 All pre-production meetings will take place where possible by video call.

6.3 Covid 19 guidelines will be followed on all productions. These guidelines may vary dependant on shoot location.

6.4 Crew may wear face masks if it is deemed necessary for the added safety of those being filmed.

6.5 Social distancing guidelines will be followed on all productions.


7) CONTRACT

7.1 By verbally or non-verbally agreeing to a costing / project proposal and opening into contract with us, the Client is therefore agreeing to all the above Terms and Conditions on behalf of their department or company. This is a perpetual contract for all future work carried out unless otherwise specified.
