Phaded London Limited
These terms & conditions are designed to protect both you and us. Please read them carefully to ensure we are aligned before proceeding with any project.
1.1 All quoted figures exclude VAT unless stated otherwise. As a VAT-registered company, VAT will be added to your final invoice.
1.2 A 50% deposit is required upfront upon project approval. This must be paid at least fourteen (14) days before work commences. If less than 14 days remain between invoice receipt and the project start date, the deposit must be paid immediately. The remaining 50% will be invoiced upon project completion and final sign-off.
1.3 Invoices not paid within 30 days from the invoice date may incur a penalty fee of 5% of the outstanding balance per week.
1.4 Phaded London Limited reserves the right to withhold delivery of materials and intellectual property rights until full payment is received.
2.1 Phaded London Limited is under no obligation to provide raw files, assets, or rushes unless previously agreed.
2.2 Copyright ownership of the final deliverables transfers to the client upon full payment.
2.3 Full rights to raw footage can be purchased for an additional fee of 50% of the total project invoice (excluding VAT), plus the cost of a hard drive and postage.
2.4 Electronic project files (including editing, motion graphics, and other audiovisual works) remain the property of Phaded London Limited. Providing these files to the client is at our discretion.
2.5 Phaded London Limited reserves the right to use any content, in part or in full, for promotional purposes.
2.6 Standard usage includes two years of social media rights for all final deliverables. This does not include actor, talent, or director fees, which may vary.
3.1 Unless otherwise agreed, clients are entitled to one round of reasonable amendments per video at no additional cost.
3.2 All requested changes must be submitted at once and deemed reasonable by Phaded London Limited.
3.3 If amendments exceed the original scope or estimated cost, additional fees will be agreed upon before further work is undertaken.
4.1 If a client cancels a project, the following charges may apply:

4.3 Phaded London Limited reserves the right to cancel a project if:
4.4 If adverse weather conditions prevent a shoot, we will reschedule at the earliest convenience. If Phaded London Limited deems the conditions unsuitable for filming, we reserve the right to postpone. If our team is unable to attend due to weather, the client will not be charged. However, if the client cancels despite the team being available, the agreed fee will still be payable.
4.5 In the event of ‘force majeure’ (e.g., natural disasters, pandemics, acts of terrorism), Phaded London Limited is not liable for contract breaches.
4.6 Shoot and edit time is non-refundable.
4.7 If a project is postponed, the same fees apply unless otherwise agreed.
5.1 If a Phaded crew member is unable to attend due to illness or injury, we reserve the right to provide a substitute at no additional cost to the client.
6.1 A risk assessment will be conducted with the client to ensure a safe shoot.
6.2 Pre-production meetings will be conducted via video call where possible.
6.3 COVID-19 guidelines will be followed, which may vary depending on location.
6.4 Crew may wear face masks if deemed necessary.
6.5 Social distancing guidelines will be adhered to on all productions.
7.1 By verbally or non-verbally agreeing to a project proposal or cost estimate, the client accepts these Terms & Conditions on behalf of their department or company. These terms apply to all future work unless stated otherwise.
